Scope of Our Energy Practice

JHJ handles primarily matters relating to conflict and disputes, debt collection, recovery proceedings, enforcement and foreclosure proceedings, bankruptcy or winding up proceedings, general trade disputes and other forms of corporate and civil litigation. Our practice also covers areas of mediation, arbitration and alternative dispute resolutions. We are very familiar with the types of disputes that commonly occur in the oil & gas industry.

We also handle various corporate matters for our oil & gas clients who need various agreements drafted for employment purposes, joint-ventures, media and creative advertising, supply and purchase transactions, partnerships and collaboration, third-party dealerships, merchant and payment agent agreements among others.

Our Team

Our team deals with both non-contentious and contentious matters. Since we are very familiar with the disputes that commonly occur in the oil & gas industry, we are able to offer a wide variety of legal advice and litigation services to clients in the industry and related businesses. We provide consultations, review contracts, negotiate dispute resolutions, and participate in mediation and arbitration. Our team is often called upon to provide legal assistance regarding design drawings, insurance mediation and arbitration, surety and bonding issues, labor violations, delay claims, and even scholarship disputes.

The team also prepares and negotiates complex design and construction agreements, including "fast-track," fixed price, cost plus, design-build, build-to-suit and public and private venture contracts. We assist in establishing clients' administration procedures and help to educate clients' employees on documentation during the design and construction process. In addition, we assist in creating and maintaining corporations, joint ventures and limited liability companies for construction projects.

Reputation & Experience

Conflict Resolution

We attend all levels of court (from the Federal Court down to Magistrates Court) and advise and represent clients on both sides of the litigation divide. Needless to say, we attend to all ancillary matters pursuant thereto, including settling court documentation, initiate or discontinue conflicts, creating legal strategies, perform legal risk management, attend meetings and discussions to negotiate settlement, provide consultation and the advise on the requisite follow-through. We also constantly provide updates on laws and issues as we become aware of any changes to the dynamic nature of this area of law.

Technical Agreements

Due to our experience, JHJ has acquired expertise in technology-based and technical contracts and we ensure our clients' rights are guarded in procurement contracts, technology-based frame contracts and related purchase orders, In-Building contracts, tender documentation, turnkey project agreements, technical supply and maintenance agreements, design and build agreements, design and installation agreements as well as all other agreements spanning all departments of a oil & gas co.

Corporate & Securities

We have the experience and ability to assist clients in structuring and completing their transactions in a timely manner while assessing and managing associated legal risks. Advice is provided on a wide array of matters, including securities offerings and disclosure issues; corporate control and take-over concerns; reorganizations, restructuring and bankruptcy proceedings; and equity and debt financing.

Our team provides practical and strategic advice with regard to all areas impacting corporate finance, including compliance with the Companies Act and listing requirements. Our team is also regularly involved in assisting public and non-public corporations on shareholder-rights matters, including tender, proxy and other hostile change-in-control.

We have been involved in many corporate exercises to Government Link Companies (GLC)'s. Among them is the corporatized arm of the Government's railway services in which we were engaged in a major exercise to standardize their tender documentation process. We have also done corporate and commercial matters including listing exercise for the corporatised arm of the Selangor State Government's water management division.

Finance & Treasury

The team has a broad-ranging practice and regularly advises on retail and institutional funds, onshore, offshore, open and closed ended, investing in equities, bonds, real estate and alternative classes, including private equity.

JHJ is also familiar with asset financing. Our experience is characterised by high value complex transactions, often with several layers of financing and legal structures. Our team is widely recognized for the range of transactions we are able to undertake. They include the following:

• Financing and operating leases, including contract-hire leasing and hire purchase facilities, and related residual value arrangements

• Loan finance, including limited recourse loan structures, discounted receivable purchase structures, securitization of receivables, and other such forms of financing in the context of leasing related transactions.

• Vendor leasing programs particularly with lessors and their customers in the computer industry in relation to both hardware and software

• Advising providers and users of asset finance on all aspects of their business, including licensing, maintenance, procurement, regulatory and competition matters
